Terms of Use for ÄriHUB Service

AccoSuite OÜ (hereinafter "AccoSuite") presents the following services under the conditions listed below:

1. General Terms: These terms define the ÄriHUB services offered by AccoSuite on the Odoo business software platform. By purchasing the ÄriHUB package on the website www.arihub.ee, the client agrees to these terms, which become binding for them. These terms apply to any use of services and packages in the ÄriHUB environment. The client guarantees that the information provided to AccoSuite is true, accurate, and up-to-date, and agrees to regularly update this information.

2. Service Description: ÄriHUB is a comprehensive business environment solution offered by AccoSuite, based on the pre-configured use of the Odoo business software platform with services included in the selected package. Our goal is to provide clients with a flexible, scalable, and user-friendly business management environment along with additional services that support the clients' business activities. The ÄriHUB Standard Solution is a pre-configured platform containing basic functionalities and applications tailored for general business needs. When a client joins ÄriHUB, our consultant will help identify all the essential applications for their business activities. Within 30 days of signing the agreement, we assist in setting up all functionalities. If the client wishes to use more applications beyond the standard functionalities, our customer support will provide assistance free of charge within the first 30 days. Additional applications added later will incur an additional fee according to the AccoSuite price list, as they result from changes in the client's business activities and require further customization.

3. Agreement Term: The term and renewal of the agreement are defined according to the selected ÄriHUB package (Start, Premium, and Premium Flex) from the date of signing the agreement. Automatic renewal occurs unless either party notifies the other in writing of the agreement termination before the end of the contract period.

Start plan:

  • Initial contract period is 30 days. If the client does not notify AccoSuite within 30 days of signing the agreement of their wish to terminate, the contract automatically extends for 12 months according to the package price and payment terms.

Premium plan:

  • The contract length is 12 months. The client has the right to withdraw from the contract within the first 30 days from signing, after which the contract remains valid for the specified 12-month period according to the package price and payment terms.

Premium Flex plan:

  • The initial contract period is 30 days, during which the client can withdraw from the contract. After the first 30 days, the contract automatically extends every 30 days according to the package price and payment terms unless the contract is terminated.

Right to Use Odoo Software: The client can use the Odoo software hosted on the Cloud Platform. The Cloud Platform is fully managed by Odoo SA and accessed remotely. AccoSuite OÜ is not obligated to fix any software or module errors, as these are covered by Odoo SA according to the client's claim. AccoSuite's Right of Access: AccoSuite has the right to access the client's Odoo environment to provide accounting support. This includes access to the client's accounting data, documents, and other relevant information necessary for high-quality accounting support. AccoSuite commits to ensuring the confidentiality of client data and using access solely for the purpose of service provision according to applicable data protection requirements.
Real-time Accounting Advice: Clients can receive prompt and professional advice on accounting matters during business days from 9:00 AM to 5:00 PM, including accounting principles, Estonian VAT, financial reporting, and payroll accounting.
Financial Entries: We advise on the correct recording of invoices, purchase and sales documents, and other important financial documentation.​ 

Other Assistance Requests: Questions regarding Odoo development or customization are covered by a separate service agreement purchase. Non-daily accounting questions can be covered by our financial advisors. Clients can utilize the assistance of our financial and technical consultants according to the valid AccoSuite OÜ price list. If it is unclear whether a request falls under this agreement, the decision is at AccoSuite OÜ's discretion.

AService Updates and Modifications: AccoSuite reserves the right to update or modify services as needed. Services are used via the website www.arihub.ee. Clients can choose between different packages that meet their specific needs. AccoSuite has the right to change and update the content of the packages. The details of the offered packages and their associated fees are available on our website. 

Selection of Services and Packages: Clients wishing to use our services and packages must first complete the purchase form on the website. By selecting and ordering a suitable package, clients create an order that, together with these terms of use, constitutes a contract between the client and AccoSuite.

Fee Structure: AccoSuite services are chargeable. Clients are billed the fee due under the agreement. Clients can change the level of services and packages at any time according to the conditions specified for each package. All prices listed below are exclusive of VAT.
Start plan:

  • The cost for the first month is 89 euros, followed by a prepayment for 12 months totaling 1,068 euros. This allows you to enjoy a lower monthly rate, making the package more affordable overall.

Premium plan:

  • An annual contract with a monthly payment of 149 euros allows entrepreneurs to pay for the service conveniently every month, without significant one-time costs. The total package cost for 12 months is 1,788 euros.

Premium Flex plan:

  • A monthly payment of 199 euros allows access to top-level services and support without large initial investments, enabling flexible budgeting. 

Fees are determined on a monthly or annual basis, depending on the subscription. AccoSuite reserves the right to change fees, notifying clients of changes at least 30 days in advance. Fee changes do not affect services already prepaid, and new fees apply from the next subscription period.

10. User Assignment and Responsibility: The client assigns users for the service and package, ensuring they have the right to act on their behalf. However, the client is fully responsible for the actions of assigned users while using the service. The client regulates user access to the service and can change it at their discretion. In case of access disputes between users and the client, the client has the right to decide who can access their data and service.

11. Payment Terms: Fees are payable in advance unless another payment deadline is specified on the invoice or order. Invoices with a payment deadline are payable within 7 business days unless otherwise specified. If payment is not made by the deadline, AccoSuite reserves the right to charge a fixed interest payment of 15% on the remaining amount due. AccoSuite has the right to suspend services without prior notice for late payment. AccoSuite may use third-party payment service providers for processing payments but is not responsible for payment processing or related issues. If payment information is not provided, payment is not received on time, or the payment method is declined, the agreement may automatically terminate, and access to the service may be restricted or suspended.

12. Handling of Client Data: The client is the sole owner of all data stored or entered through the service. Access to data is, however, dependent on timely payment of fees. The client grants AccoSuite the right to use, copy, transmit, store, and back up this data to provide and use the service. The client is responsible for their data and the consequences of entering or transmitting it, confirming that such activity does not violate these terms, applicable laws, or third-party rights.

13. Confidentiality and Disclosure of Client Data: The ÄriHUB service allows AccoSuite to provide clients with a pre-configured platform offered in the Odoo cloud environment. The Odoo ERP platform as a standalone functionality and service, and how this system enables client login, is also used by the Odoo platform according to their privacy policy.

AccoSuite commits to keeping all client data confidential, avoiding disclosure to third parties. However, disputes between the client and their end clients remain the client's responsibility. In certain conditions, AccoSuite may be justified in disclosing client data to the end client who is the rightful recipient of that data, such as in the case of specific end client accounting data. Disclosure of client data to the end client is allowed in the following cases:

a) With the client's consent confirmed by email. b) If AccoSuite or the end client cannot reach the client within a month despite repeated attempts using the provided contact information. c) Upon termination of the client's agreement with AccoSuite. d) In other circumstances where the end client sufficiently convinces AccoSuite that the client is maliciously obstructing access to relevant data.

AccoSuite may also disclose client data to authorized representatives as required by law or authorized documents, or if the law requires data disclosure.

  1. Data Monitoring: AccoSuite does not actively monitor client data. The client is responsible for their data content, ensuring it does not violate these terms, third-party rights, or applicable laws. AccoSuite has the right but not the obligation to remove data or terminate the agreement if the client's data violates the terms or laws without prior notice.​
  2. Data Deletion: AccoSuite is not obligated to retain backups of client data after the agreement ends or the data is deleted. To avoid data loss, we recommend clients maintain independent data backups.
  3. Prohibited Activities: Clients may not use services for illegal, harmful, or fraudulent purposes. It is forbidden to distribute material containing viruses or infringing intellectual property rights.
  4. Intellectual Property: All intellectual property rights related to ÄriHUB remain with AccoSuite. The client may not use any intellectual property without AccoSuite's consent.
  5. Personal Data Processing: The client confirms they have the right to disclose all personal data submitted to AccoSuite during the use of the service. Personal data is processed only to provide the chosen service. AccoSuite ensures that all individuals processing personal data comply with confidentiality requirements. Personal data is not disclosed to third parties without the client's consent, except to the extent necessary for service provision or as required by law. AccoSuite may use subcontractors, ensuring they are subject to the same data protection obligations. International transfer of personal data occurs only to countries within the European Union / European Economic Area or countries providing adequate protection.
  6. Security: AccoSuite applies the required security measures according to applicable law for processing client data, ensuring secure collection, transmission, and storage of data. We help fulfill the obligations of the responsible processor regarding data subject rights, data protection impact assessments, and breach notifications by applying appropriate technical and organizational measures.
  7. Disclaimer of Warranty: AccoSuite provides no warranty regarding the service accompanying the package, which is available "as is." We do not guarantee the quality, fitness for a particular purpose, completeness, or accuracy of the service. The client uses the service at their own risk, knowing that the service may experience interruptions or errors that may not always be fixed​.
  8. Limitation of Liability: AccoSuite is not liable for direct or indirect damages resulting from the use or inability to use the service. This includes, but is not limited to, access interruptions, data loss, or damage. Our liability is limited to the amount paid for services in the last 12 months.
  9. Indemnification: The client agrees to indemnify all claims arising from misuse of the service, illegal data transmission, or violation of these terms.
  10. Modification of Terms: AccoSuite reserves the right to change these terms at any time. Clients will be notified of changes in advance. If the client disagrees with the changes, it may limit their use of the service.
  11. Termination of Agreement: The client can terminate the agreement at any time by sending a notice to AccoSuite's email address. The agreement ends immediately upon receipt of the termination notice by AccoSuite. AccoSuite may also terminate the agreement if the client violates the terms without being obligated to refund paid fees.
  12. Dispute Resolution: All disputes arising from these terms are settled under the laws of the Republic of Estonia at Harju County Court.
  13. Entire Agreement: These terms, together with the order, constitute the entire agreement between the client and AccoSuite and replace all previous agreements.
  14. Validity and Enforceability: If any term is found invalid or unenforceable, it does not affect the validity of the remaining terms.
  15. Assignment of Rights: AccoSuite may assign its rights under the agreement without the client's consent if it does not affect the performance of the agreement.
  16. Contact Information: All notices related to the agreement must be sent to AccoSuite's email address info@arihub.ee.

    AccoSuite reserves the right to change these terms at any time without prior notice. The terms in effect at the time of agreeing to these terms apply to the client.
